Blue Hat Interactive Entertainment Technology (Blue Hat or the Company) (NASDAQ: BHAT) announced a registered direct offering of 55,200,000 Ordinary Shares to institutional investors. The shares are priced at $0.08 each.

The company expects gross proceeds of approximately $4.4 million before fees and expenses. The offering is scheduled to close around January 7, 2025, contingent upon standard closing conditions.

Maxim Group LLC is the sole placement agent for this offering.

The Ordinary Shares are offered under a shelf registration statement (Form F-3, File No. 333-274893), declared effective by the SEC on January 26, 2024. The offering will be made through a prospectus supplement included in that registration statement.
